Terms of Trade

1. Definitions
  • Conditions: These terms and conditions of sale and any special terms agreed in writing by OPOL.
  • Customer: The person who buys or agrees to buy the Goods from OPOL.
  • Customer Account: An account that allows the Customer to purchase Goods up to an agreed credit limit.
  • Delivery Date: The date specified by OPOL for delivery of Goods.
  • E-Commerce Services: Services on the Website allowing online credit card payments to OPOL.
  • Goods: Products which the Customer agrees to buy from OPOL.
  • Order: A request to purchase Goods from OPOL.
  • Price: The price for Goods, excluding additional fees such as GST.
  • OPOL: Rapasa Investments Limited, trading as Office Products Online.
  • Website: OPOL’s website located at www.officeproductsonline.co.nz.
2. Conditions Applicable
  • These Conditions apply to all Orders, excluding other terms provided by the Customer.
  • All Orders are considered offers by the Customer and constitute separate contracts.
  • Acceptance of delivery of Goods confirms acceptance of these Conditions.
  • Any variations must be agreed in writing by OPOL.
3. Sale by Description
  • Goods are supplied according to the description on the Website, manufactured according to industry standards.
  • OPOL may change product specifications for safety or compliance, without materially affecting quality.
  • Descriptions relate only to essential characteristics of the Goods.
4. Price and Payment Online
  • Prices are listed on the Website and may exclude GST and other charges.
  • Payment in full is required before delivery, using credit card through E-Commerce Services.
  • Customers must use E-Commerce Services lawfully, and payment details must be accurate and authorized.
  • Transaction verification is the Customer's responsibility; OPOL is not liable for incorrect entries.
  • OPOL may alter, cancel, or suspend E-Commerce Services without prior notice.
5. Refunds Policy
  • Refunds are provided only for overpayments or agreed cases, with proof of overpayment required.
  • Approved refunds will be credited back to the originating credit card or held as a credit.
  • No cash refunds will be given.
6. Security of Online Transactions

OPOL’s E-Commerce Services use SSL encryption, though complete security cannot be guaranteed. OPOL and DPS are not liable for unauthorized interception of data.

7. Customer Accounts
  • Customers may apply for an account, subject to credit checks by OPOL.
  • Accounts are granted at OPOL’s discretion and come with a set credit limit.
  • Invoices must be paid by the 20th of the month after the invoice date.
  • OPOL reserves the right to terminate Customer Accounts.
8. Delivery of the Goods
  • Delivery is made to the Customer’s address on the Delivery Date, with arrangements required for acceptance.
  • Damage or loss must be reported within two days of receipt.
  • OPOL is not liable for late or partial delivery.
  • Acceptance of Goods is deemed 48 hours after delivery.
9. Termination of Supply
  • OPOL may terminate supply if the Customer fails to make payment, breaches Conditions, or encounters legal proceedings.
  • OPOL may apply interest on outstanding sums, suspend deliveries, or terminate Orders without liability.
10. Retention of Title and Personal Property Securities Act 1999 (PPSA)
  • Goods remain at OPOL’s risk until delivery, and title does not transfer until payment is complete.
  • The Customer agrees to comply with PPSA regulations.
  • OPOL may repossess Goods if the Customer defaults on payment obligations.
11. Warranties
  • Goods sold for personal use comply with the Consumer Guarantees Act 1993.
  • For business purposes, the Consumer Guarantees Act does not apply.
  • Defective Goods may be repaired, replaced, or refunded at OPOL’s discretion.
12. Exclusion of Liability

OPOL is not liable for indirect losses, including loss of profit, arising from a breach of these Conditions. Liability is limited to the price of the Goods.

13. Force Majeure

Neither party is liable for failure to perform due to uncontrollable circumstances such as natural disasters, strikes, or governmental actions. Notice must be provided upon awareness of such an event.

14. Notices

Notices under these Conditions must be in writing and delivered by post or email. Receipt is deemed upon delivery, three days after posting, or when the email is received.

15. Privacy
  • OPOL may collect personal information for order processing, subject to the Privacy Act 1993.
  • Transactions processed through DPS adhere to the DPS Privacy Policy.
  • Customers consent to data being used for communication purposes and may opt-out of marketing communications.
16. Dispute Resolution
  • Parties shall attempt to resolve disputes through negotiation or mediation if necessary.
  • Mediation costs will be shared equally between both parties.
17. Law of Contract

This contract is governed by New Zealand law, and both parties submit to the jurisdiction of the New Zealand courts.

18. 20th Anniversary Giveaway 2026
  • Promoter: Rapasa Investments Limited, trading as Office Products Online (OPOL).
  • Promotion period: Tuesday 29 April 2026 (00:00 NZST) to Monday 19 May 2026 (23:59 NZST).
  • Eligibility: Open to NZ residents and NZ-based businesses aged 18 or over. Employees of OPOL and their immediate family are not eligible to win.
  • How to enter: Each order placed on www.officeproductsonline.co.nz during the promotion period is automatically entered as one entry. Multiple orders earn multiple entries. No-purchase-necessary alternative entry: send your name, email and a 50-word note about your office to shop@officeproductsonline.co.nz with the subject “20th Anniversary Entry” during the promotion period; one alternative entry per person.
  • Prizes: Five (5) prizes, total prize pool approximately NZ$2,733 including GST. Prizes consist of office products selected by OPOL. Specific items are non-transferable and non-substitutable except as noted below; if a winner’s allocated prize becomes unavailable due to stock, OPOL may substitute an equivalent product of equal or greater value at its sole discretion. Prizes are not redeemable for cash.
  • Draw: A random draw of all valid entries will be conducted on Saturday 23 May 2026 at OPOL’s Auckland office. Five (5) winners will each receive one prize.
  • Winner notification: Winners will be notified by email within five (5) working days of the draw, using the email address associated with the qualifying order or alternative entry. If a winner cannot be reached or does not respond within fourteen (14) days of notification, OPOL reserves the right to redraw and select a replacement winner.
  • Delivery: Prizes will be delivered free of charge to a New Zealand address of the winner’s choosing within twenty-one (21) days of confirmation.
  • Privacy: Entrants’ personal information will be handled in accordance with section 15 of these Conditions and used solely to administer this promotion, including notification, prize delivery, and the public announcement of winners’ first names and town of residence on the Website and OPOL’s social channels.
  • General: This promotion is conducted in accordance with New Zealand law and is not affiliated with or endorsed by any third party. The promoter’s decision is final and no correspondence will be entered into. By entering, entrants release OPOL from any liability arising from participation in this promotion or use of any prize, except where liability cannot lawfully be excluded. OPOL reserves the right to disqualify any entrant who tampers with the entry process, breaches the spirit of this promotion, or supplies false information.
